二 |     曲江文旅市场化运营管理的景区主要有国家5A级旅游景区“大唐芙蓉园·大雁塔景区”、国家 4A 级旅游景区“曲江海洋极地公园”，开展公建物业管理并提供大众游客服务的旅游景区主要有大唐不夜城景区、西安城墙景区，开展公建物业管理并提供市民游客服务的城市公园主要有曲江池遗址公园、唐城墙遗址公园、唐大慈恩寺遗址公园。    今年7月，因存在重大事件未按规定披露、内部控制存在缺陷两项违规行为，曲江文旅被责令改正，公司时任董事长耿琳等6人遭警示。

三 |     7月10日盘后，曲江文旅公告，公司于7月10日收到陕西证监局下发的《关于对西安曲江文化旅游股份有限公司采取责令改正并对相关责任人采取出具警示函行政监管措施的决定》。    经查，曲江文旅存在以下问题：公司存在向关联方转让股权等关联交易未审议披露或未及时审议披露，重大诉讼未及时披露等问题；公司在合同管理、资金管控、关联交易管理、内部监督、财务管理和会计核算、内部环境和信息沟通等方面存在内控缺陷。    根据相关规定，曲江文旅时任董事长耿琳、谢晓宁、庄莹，时任总经理谢晓宁、董世宏，时任财务负责人谢晓宁、申书宇，时任代理董秘庄莹、赵茜对上述违规事项负有主要责任。陕西证监局决定对曲江文旅采取责令改正并对上述责任人员采取出具警示函的行政监管措施。    来源：北京商报     （编辑：晓慧）     返回，查看更多。
